End User License Agreement

Draft, pending legal review. This is a plain-language draft written to match how the Stillwork licensing system actually behaves. It has not yet been reviewed by counsel, and the governing jurisdiction is not yet set. It is published here for reference and is not final terms.

1. Agreement

This End User License Agreement is a contract between you and Stillwork. It covers Stillwork audio software products, which we call the "Software." By installing, activating, or using the Software, you agree to these terms. If you do not agree, do not install or use the Software.

2. What you are buying

You are buying a license to use the Software. You are not buying the Software itself, and Stillwork retains all ownership and intellectual property rights in it. The license is perpetual for the version line you purchased, as described in Section 4, and it does not expire on its own.

3. What the license lets you do

Your license is granted to you as a single person or, if bought by an organization, to a single named seat. Under it you may:

Your license is tied to you, identified by your name and email, and is not tied to any specific computer or hardware.

4. Versions and updates

Your purchase includes all patch and minor updates within the version line you bought, at no additional charge, for as long as you use the Software. For example, a purchase of version 2 includes every 2.x update.

A new major version, for example version 3, may be offered as a separate paid upgrade. You are never required to upgrade. The version you own continues to work indefinitely under this agreement. Access to a new major version is provided at the point of download and requires a matching upgrade entitlement.

5. How activation works

The Software is unlocked with a license file that Stillwork issues to you. You activate by placing that file, or pasting the license token, into the Software. Activation is performed locally on your machine and does not require an internet connection. The Software does not transmit your activity to Stillwork.

Your name and email are contained within the license and may be displayed within the Software. This is intended and is how the license identifies its owner.

6. What you may not do

You may not:

Sharing a license is a violation of this agreement. Because your name and email are carried inside the license, a shared license also exposes your identity to whomever receives it.

7. Transfers

Licenses are personal and are generally non-transferable. If you wish to transfer a license, for example when a business is sold, contact Stillwork. We may permit a transfer at our discretion and may require the original license to be retired and a new one issued to the new owner.

8. Refunds and revocation

If Stillwork issues you a refund, or if a payment is reversed through a chargeback or is found to be fraudulent, the associated license is void for any future activation. A copy already installed and activated on your machine will continue to run until it is reinstalled, and Stillwork does not reach onto your computer to disable working software.

Stillwork maintains a limited revocation list used only at the moment of activation. A license is placed on it only for confirmed chargebacks, refunds, fraudulent purchases, or at your own request if your key is compromised. Stillwork does not revoke licenses for hardware changes, for the number of machines you use, for inactivity, or on suspicion alone.

9. Replacements

If you lose your license file, or you believe your key has been exposed, contact Stillwork for a replacement. We will issue a new license and retire the old one. A first replacement is provided at no charge. A small administrative fee may apply to repeated or unusual replacement requests.

10. Continuity

Because the Software verifies its license locally and does not depend on a Stillwork server to run, your Software continues to function regardless of Stillwork's server status, including if Stillwork ceases operation. Your license is not routed through any Stillwork service, so there is nothing that can be switched off. This continuity is described further in our public Licensing Promise.

11. Warranty and liability

The Software is provided "as is," without warranties of any kind to the extent permitted by law. Stillwork is not liable for indirect, incidental, or consequential damages arising from the use of, or inability to use, the Software. Nothing in this section limits liability that cannot be limited under applicable law.

12. Changes to this agreement

Stillwork may update this agreement for future purchases and future versions. Changes do not retroactively remove rights you already hold in a version you already own.

13. Governing law and contact

The governing jurisdiction and dispute-resolution terms are to be set on publication.
